These Terms & Conditions (the “Terms”) govern your access to and use of the website located at carecertify.net, the CareCertify learning platform, and all online courses, training materials, certificates, documents, downloads, and related products and services made available through it (together, the “Services”). The Services are provided by CareCertify LLC (“CareCertify,” “we,” “us,” or “our”).

By creating an account, enrolling in a course, purchasing a product, or otherwise accessing or using the Services, you (whether enrolling for yourself as a “Learner” or on behalf of an organization as a “Customer”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Services. If you are entering into these Terms on behalf of an agency or other organization, you represent that you have the authority to bind that organization, and “you” refers to that organization.

CareCertify provides educational and training content only. It does not provide legal, regulatory, tax, clinical, or compliance advice, and completion of any course does not by itself make any person or agency compliant with any law, rule, or contract. Please read Sections 7 and 8 carefully.

1.Agreement to These Terms

These Terms form a binding agreement between you and CareCertify. They apply each time you access the Services, and your continued use after any update constitutes acceptance of the then-current Terms. Additional terms may apply to specific products, promotions, or enterprise/agency arrangements; where there is a conflict, any signed written agreement between you and CareCertify controls over these Terms for the subject it covers.

2.Definitions

For convenience, the following terms are used throughout:

  • “Learner” — an individual who is enrolled in and completes course content under his or her own account.
  • “Customer” — an agency, employer, or organization that purchases or sponsors access for one or more Learners.
  • “Course Materials” — all video, audio, slides, written content, quizzes, participant guides, downloadable documents, and other instructional material made available through the Services.
  • “Certificate” — a record of completion generated by the platform when a Learner finishes a course’s requirements.
  • “Account” — the personal credentials and profile used to access the Services.

3.Eligibility & Accounts

To use the Services, you must be at least 18 years of age (or the age of majority in your jurisdiction) and able to form a legally binding contract. You agree to provide accurate, current, and complete information when registering and to keep it up to date.

You are responsible for safeguarding your Account credentials and for all activity that occurs under your Account. Each Account is intended for a single named Learner. Accurate identity and individual completion records are important to the integrity of training documentation; accordingly, Accounts, enrollments, and Certificates may not be shared, transferred, or completed on another person’s behalf. Notify us promptly of any unauthorized use of your Account.

4.Description of the Services

CareCertify offers online training courses and supporting materials related to home- and community-based services, direct support, orientation, and related professional topics, including content addressing Minnesota program requirements. The Services are intended to support training and professional development. We may add, modify, suspend, or discontinue any course, feature, or portion of the Services at any time, with or without notice.

Course content reflects our understanding of applicable standards as of the date it is prepared. Laws, rules, payer requirements, and best practices change, and there may be a delay before content is updated to reflect such changes. You are responsible for confirming current requirements with the appropriate authority or your own advisor.

5.Enrollment, Fees & Payment

Pricing for each course or product is shown at the point of enrollment or purchase. Certain courses may be offered at no charge; others are offered for a fee. Unless stated otherwise, fees are quoted in U.S. dollars and are due at the time of purchase.

Payments are processed by third-party payment processors. By submitting payment information, you authorize the applicable processor and CareCertify to charge the payment method you provide for the amounts due, including any applicable taxes. CareCertify does not store full payment card numbers. You represent that you are authorized to use the payment method submitted. We may correct pricing errors even after an order has been placed.

6.Refunds

Because the Services consist of digital content that is made available immediately upon enrollment, the following refund policy applies: a written refund request submitted within 7 days of purchase will be honored only if the course has not been substantially accessed and no Certificate has been issued. Once a course has been substantially accessed or a Certificate has been generated, fees are non-refundable.

Free or promotional enrollments carry no monetary value and are not eligible for refund or cash equivalent. Refund requests should be submitted using the contact information in Section 23. Approved refunds are issued to the original payment method.

7.Educational Purpose & No Guarantee of Results

The Services are provided for educational and informational purposes. You acknowledge and agree that CareCertify is not engaged to evaluate, certify, or guarantee that any Learner has actually mastered, retained, or correctly applied the subject matter, and that a Certificate reflects completion of platform activities rather than a judgment about real-world competency.

CareCertify makes no promise or guarantee regarding any particular outcome from use of the Services, including (without limitation) employment, hiring, retention, licensure, enrollment, certification by any agency or board, survey results, audit outcomes, payment of claims, or acceptance of training records by any regulator, payer, or third party. While we use reasonable efforts to keep Course Materials accurate and current, you agree that CareCertify is not responsible for any loss arising from content that is later found to be inaccurate, incomplete, out of date, or misunderstood or misapplied by a Learner or Customer.

8.Not Legal, Regulatory, or Compliance Advice

Nothing in the Services constitutes legal, regulatory, tax, accounting, clinical, or professional advice, and no attorney-client, consultant-client, or other professional relationship is created by your use of the Services. Course Materials are general in nature and are not a substitute for reading the applicable statutes and rules, reviewing your contracts and policies, or consulting qualified counsel or the relevant governmental authority about your specific situation.

Completing a course does not by itself make any individual or organization compliant with any law, regulation, licensing standard, accreditation requirement, or payer contract, and does not satisfy any obligation you may have to independently verify and maintain compliance. You are solely responsible for your own and your organization’s compliance.

9.Certificates of Completion

When a Learner completes the requirements of a course, the platform may generate a Certificate documenting that completion. A Certificate evidences participation in CareCertify training only. It is not a license, credential, or government approval, and it does not certify regulatory compliance or guarantee that any third party will accept it. You are responsible for retaining your own copies of Certificates and for determining whether a given course meets any external requirement applicable to you. We reserve the right to revoke or correct a Certificate issued in error or obtained through a violation of these Terms.

10.License & Acceptable Use

Subject to these Terms and payment of any applicable fees, CareCertify grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Course Materials for your own internal training and professional-development purposes during your authorized access period.

You agree that you will not, and will not permit anyone else to:

  • copy, record, screen-capture, download (except where a download is expressly provided), reproduce, republish, broadcast, distribute, resell, sublicense, or publicly display the Course Materials, in whole or in part;
  • share Account credentials, or allow anyone other than the named Learner to complete coursework or obtain a Certificate;
  • use the Services to build, train, or improve any competing product, dataset, or training program;
  • circumvent, disable, or interfere with any security, access-control, or usage-limiting feature of the Services;
  • upload or transmit any unlawful, infringing, harmful, or malicious content or code; or
  • use the Services in any way that violates applicable law or these Terms.

Violation of this Section may result in immediate suspension or termination without refund, in addition to any other remedies available to us.

11.Intellectual Property

The Services and all Course Materials — including text, graphics, logos, slides, video, audio, quizzes, participant guides, software, page design, and the selection and arrangement of content — are owned by CareCertify or its licensors and are protected by copyright, trademark, and other intellectual-property laws. CareCertify retains all right, title, and interest in and to the Services and Course Materials, including all intellectual-property rights. Except for the limited license granted in Section 10, no right or license is granted to you, and all rights not expressly granted are reserved.

The CareCertify name, logo, and related marks are trademarks of CareCertify. You may not use them without our prior written permission. Any feedback or suggestions you provide may be used by CareCertify without restriction or obligation to you.

12.Third-Party Services & Links

The Services may rely on or link to third-party platforms, content, or websites (for example, payment processors, video hosting, or referenced resources). CareCertify does not control and is not responsible for the availability, content, accuracy, or practices of any third party, and the inclusion of any link or integration does not imply endorsement. Your use of third-party services is governed by their own terms and policies.

13.Service Availability & Interruptions

You understand that internet-based services depend on networks, hardware, software, and third-party providers that may not function fully at all times. The Services may be unavailable or impaired from time to time due to maintenance, updates, outages, capacity, connectivity, force-majeure events, or other causes inside or outside our control. We will make commercially reasonable efforts to keep the Services accessible, but we do not warrant or guarantee uninterrupted, timely, secure, or error-free access, and you agree that CareCertify is not liable for any interruption, delay, or unavailability of the Services or Course Materials.

14.Disclaimer of Warranties

The services, course materials, certificates, and all products are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, CareCertify disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, title, and non-infringement, and any warranty that the services will meet your requirements, be error-free, or produce any particular result. No advice or information, whether oral or written, obtained from CareCertify or through the services creates any warranty not expressly stated in these terms.

15.Limitation of Liability

To the fullest extent permitted by law, CareCertify and its members, managers, officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, or for any damages arising from death, bodily injury, or property damage, arising out of or relating to the services or these terms, even if advised of the possibility of such damages, and regardless of the theory of liability.

To the fullest extent permitted by law, CareCertify’s total aggregate liability arising out of or relating to the services or these terms — whether based on contract, negligence or other tort, strict liability, warranty, equipment or system failure, or any other theory — will not exceed the total amount you actually paid to CareCertify for the services during the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you; in that case our liability is limited to the greatest extent permitted by law.

16.Indemnification

You agree to defend, indemnify, and hold harmless CareCertify and its members, managers, officers, employees, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, your violation of any law or third-party right, or your reliance on Course Materials, except to the extent caused by CareCertify’s own gross negligence or willful misconduct.

17.Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect information. By using the Services, you consent to the practices described in that policy.

18.Suspension & Termination

We may suspend or terminate your access to all or part of the Services at any time, with or without notice, if we believe you have violated these Terms, if required by law, or to protect the Services or other users. You may stop using the Services at any time. Upon termination, the license granted to you ends and you must stop using the Course Materials. Sections that by their nature should survive termination — including those addressing intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

19.Changes to These Terms

We may update or modify these Terms from time to time. When we do, we will revise the “Last Updated” date above and, where appropriate, provide additional notice. Material changes take effect when posted unless we state otherwise. Your continued access to or use of the Services after changes are posted means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

20.Governing Law & Venue

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws principles. Subject to Section 21, you agree that the exclusive venue for any dispute will be the state or federal courts located in Itasca County, Minnesota, and you consent to the personal jurisdiction of those courts.

21.Dispute Resolution

Before filing any claim, you agree to first contact us and attempt in good faith to resolve the dispute informally. Most concerns can be resolved this way. Any claim must be brought within one (1) year after it arises, to the extent permitted by law.

22.General Provisions

Entire Agreement. These Terms, together with any policy or written agreement expressly incorporated by reference, are the entire agreement between you and CareCertify regarding the Services and supersede any prior understanding on the subject.

Severability. If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign or transfer these Terms without our prior written consent. CareCertify may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

Force Majeure. CareCertify is not liable for any failure or delay caused by events beyond its reasonable control.

No Third-Party Beneficiaries. These Terms do not create any rights in favor of any third party.
